1. Acceptance of Terms
By accessing https://bclarkcodes.dev or engaging Brian Clark ("BClarkCodes") for custom WordPress development, speed optimization, or AI automation services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use this website or commission engineering services.
2. Services & Milestone Proposals
All engineering engagements are governed by formal, written project proposals specifying defined milestones, technical deliverables, and fixed-price investments.
Any requests for modifications, additional features, or third-party integrations outside the approved project scope will be evaluated under a written change order before work begins.
3. Intellectual Property & Code Ownership
100% Client Ownership: Upon receipt of full and final payment for a commissioned project, all custom theme files, custom plugin code, templates, and proprietary assets created specifically for the client become the sole intellectual property of the client.
Underlying open-source components (including WordPress core, PHP libraries, and MIT/GPL licensed utilities) remain subject to their respective open-source licenses.
4. Warranties, Support & Limitations of Liability
We warrant that all custom code authored by BClarkCodes will function in accordance with the written project specification upon deployment. We provide a complimentary 30-day post-launch bug-fix warranty on all delivered code.
Except as expressly stated, software and consulting are provided "as is". In no event shall Brian Clark or BClarkCodes be liable for indirect, incidental, or consequential damages resulting from third-party hosting outages, third-party plugin updates performed by client personnel, or third-party API disruptions beyond our direct control.
5. Governing Law & Dispute Resolution
These terms and all service agreements shall be governed by and construed in accordance with the laws of the State of Mississippi, United States, without regard to its conflict of law provisions. Any legal proceedings arising out of this agreement shall be instituted in the state or federal courts located in Warren County, Mississippi.
